By using AutoFlow, you agree to these legally binding terms. These terms include arbitration provisions, limitation of liability, and other important legal rights. Please read carefully.

1. Agreement to Terms

Welcome to AutoFlow! These Terms of Service ("Terms") govern your use of AutoFlow's marketing automation platform and related services (collectively, the "Service") operated by AutoFlow, Inc. ("AutoFlow," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

Important: These Terms include binding arbitration and class action waiver provisions that affect your rights to resolve disputes. Please read Section 18 carefully.

2. Description of Service

AutoFlow provides a comprehensive marketing automation platform that enables businesses to create, manage, and optimize their marketing efforts through AI-powered tools.

2.1 Core Features

  • AI Content Generation: Automated creation of marketing copy, social media posts, and brand messaging
  • Social Media Management: Content scheduling, publishing, and analytics across multiple platforms
  • Brand Identity Tools: Logo generation, brand voice development, and style guide creation
  • Marketing Automation: Workflow automation for email campaigns, lead nurturing, and customer engagement
  • Analytics and Reporting: Performance tracking, ROI analysis, and marketing insights
  • Team Collaboration: Multi-user workspaces, role-based permissions, and approval workflows

2.2 Service Availability

We strive to maintain high service availability but cannot guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

3. User Accounts and Registration

3.1 Account Creation

  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must be at least 16 years old to create an account
  • One person may not maintain more than one account without our permission

3.2 Organization Accounts

  • Organization accounts require admin approval for access
  • Organization admins can manage users, permissions, and billing
  • Users must be authorized representatives of their claimed organization
  • Organizations are responsible for their members' use of the Service

3.3 Account Security

  • You are solely responsible for all activity under your account
  • Immediately notify us of any unauthorized use of your account
  • Use strong, unique passwords and enable two-factor authentication when available
  • Do not share account credentials with others

4. Acceptable Use Policy

4.1 Permitted Uses

You may use AutoFlow for legitimate business marketing and promotional activities, including:

  • Creating marketing content for your business or clients
  • Managing social media accounts you own or are authorized to manage
  • Analyzing marketing performance and customer engagement
  • Collaborating with team members on marketing projects

4.2 Prohibited Uses

You agree not to use AutoFlow for:

  • Illegal Activities: Any unlawful purpose or in violation of any applicable laws
  • Spam and Abuse: Sending unsolicited messages, spam, or engaging in harassment
  • Intellectual Property Violation: Infringing copyrights, trademarks, or other IP rights
  • Deceptive Practices: Impersonating others, creating fake accounts, or providing false information
  • Malicious Content: Distributing viruses, malware, or other harmful computer code
  • Platform Abuse: Attempting to hack, reverse engineer, or disrupt the Service
  • Competitor Analysis: Using the Service to build competing products or services
  • Data Mining: Unauthorized scraping or automated data collection
  • Adult Content: Creating, promoting, or distributing explicit adult material
  • Hate Speech: Content that promotes violence, discrimination, or hatred

4.3 Content Compliance

All content created or distributed through AutoFlow must:

  • Comply with applicable advertising standards and regulations
  • Respect the terms of service of social media platforms where content is published
  • Include proper disclosures for sponsored content or partnerships as required by law
  • Not violate any person's privacy, publicity, or other rights

5. Intellectual Property Rights

5.1 Your Content

  • You retain ownership of all content you upload to AutoFlow
  • You grant us a non-exclusive license to use your content to provide our services
  • You represent that you have all necessary rights to your uploaded content
  • You are responsible for ensuring your content doesn't infringe third-party rights

5.2 AI-Generated Content

  • Content generated by AutoFlow's AI tools is owned by you
  • You are responsible for reviewing and approving all AI-generated content
  • AI-generated content may not be unique and similar content might be created for others
  • You should verify that AI content meets your legal and compliance requirements

5.3 AutoFlow Intellectual Property

  • AutoFlow platform, algorithms, and technologies remain our exclusive property
  • Our trademarks, logos, and brand elements may not be used without permission
  • You may not copy, modify, or create derivative works of our software
  • No rights are granted except as explicitly stated in these Terms

5.4 DMCA and Copyright Protection

We respect intellectual property rights and respond to valid DMCA notices. To report copyright infringement, contact copyright@autoflow.com with:

  • Description of the copyrighted work claimed to be infringed
  • Location of the allegedly infringing content
  • Your contact information and signature
  • Statement of good faith belief and accuracy

6. Social Media Integration and Publishing

6.1 Account Authorization

  • You must own or be authorized to manage any social media accounts you connect
  • You authorize AutoFlow to publish content on your behalf to connected accounts
  • You remain fully responsible for all content published through AutoFlow
  • You can revoke authorization at any time through your account settings

6.2 Platform Compliance

  • You must comply with each social media platform's terms of service
  • Publishing frequency and content must respect platform guidelines
  • You are responsible for any violations of platform policies
  • We may suspend publishing if platforms report policy violations

6.3 Content Responsibility

  • Review all content before scheduling or publishing
  • Ensure content accuracy and appropriateness for your audience
  • Include required disclosures for advertising or sponsored content
  • Respect audience privacy and social media platform privacy policies

6.4 Publishing Limitations

  • Publishing is subject to social media platform availability and API limits
  • We cannot guarantee successful delivery of all scheduled content
  • Platform changes may affect publishing capabilities without notice
  • You should monitor published content and platform notifications

7. Usage Limits and Fair Use

7.1 Credit System

  • Service usage is measured in credits as defined in your plan
  • Different features may consume different amounts of credits
  • Credits typically reset monthly based on your billing cycle
  • Unused credits generally do not roll over to the next period

7.2 Fair Use Policy

  • Use the Service reasonably and in good faith
  • Do not attempt to circumvent usage limits or abuse the credit system
  • Excessive usage that impacts system performance may result in restrictions
  • We reserve the right to implement additional limits to ensure fair access

7.3 Service Limitations

  • Maximum number of active automations per organization
  • Storage limits for uploaded content and generated materials
  • API rate limits for integrations and third-party connections
  • Team member limits based on your subscription plan

8. Payment Terms and Billing

8.1 Subscription Plans

  • Service is provided on a subscription basis with monthly or annual billing
  • Plan features and pricing are as described on our website
  • You may upgrade or downgrade plans subject to availability
  • Plan changes take effect at the next billing cycle unless otherwise specified

8.2 Payment Processing

  • Payments are processed by secure third-party payment processors
  • You authorize automatic charging of your selected payment method
  • All fees are non-refundable except as required by law
  • You are responsible for all applicable taxes

8.3 Late Payment and Suspension

  • Service may be suspended for non-payment after reasonable notice
  • Additional fees may apply for payment processing failures
  • You remain responsible for all charges incurred during suspension
  • Accounts may be terminated after extended non-payment periods

9. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9.1 Data Processing

  • We process your data to provide and improve our services
  • AI content generation may involve processing of your brand information
  • We implement appropriate technical and organizational security measures
  • Data may be processed in various countries where we operate

9.2 Your Data Rights

  • You can access, update, and delete your account information
  • You can export your data in portable formats
  • You can revoke third-party integrations and permissions
  • Additional rights may apply based on your location (GDPR, CCPA, etc.)

10. Service Modifications and Availability

10.1 Service Changes

  • We may modify, enhance, or discontinue features with reasonable notice
  • Material changes that reduce functionality will be communicated in advance
  • We strive to improve the Service while maintaining backward compatibility
  • Some changes may require updates to these Terms

10.2 Maintenance and Downtime

  • Scheduled maintenance will be announced in advance when possible
  • Emergency maintenance may occur without prior notice
  • We target 99.9% uptime but cannot guarantee uninterrupted service
  • No compensation for brief service interruptions

11. Termination

11.1 Termination by You

  • You may cancel your account at any time through your account settings
  • Cancellation takes effect at the end of your current billing period
  • No refunds for unused portions of pre-paid subscriptions
  • You can export your data before account deletion

11.2 Termination by AutoFlow

  • We may suspend or terminate accounts for violations of these Terms
  • Immediate termination for serious violations (illegal activity, security threats)
  • Warning and opportunity to cure for less serious violations
  • We may terminate with 30 days' notice for business reasons

11.3 Effect of Termination

  • Access to the Service ends immediately upon termination
  • Your data will be deleted according to our Privacy Policy
  • Outstanding payment obligations survive termination
  • Provisions that should survive termination remain in effect

12. Disclaimers and Limitations of Liability

12.1 Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12.2 AI Content Disclaimers

  • AI-generated content may contain errors, inaccuracies, or inappropriate material
  • You must review and approve all content before use or publication
  • We do not guarantee the quality, accuracy, or suitability of generated content
  • AI content may not be unique and similar content may be generated for others

12.3 Third-Party Services

  • We are not responsible for third-party services or platforms
  • Social media platform changes may affect functionality without notice
  • Third-party service failures are beyond our control
  • Integration availability depends on third-party API access

12.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless AutoFlow and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service in violation of these Terms
  • Content you upload, create, or publish through the Service
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations
  • Unauthorized use of your account by others due to your negligence

14. Force Majeure

AutoFlow shall not be liable for any failure to perform due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government regulations, internet service provider failures, or other unforeseeable circumstances.

15. Export Controls

The Service may be subject to export control laws and regulations. You agree to comply with all applicable export control laws and not to use the Service in violation of any export restrictions.

  • Do not access the Service from countries subject to trade embargos
  • Do not use the Service for prohibited end uses or end users
  • Comply with all applicable import and export regulations

16. Government Users

If you are a government entity, the Service is "commercial computer software" and "commercial computer software documentation" as those terms are used in the applicable government acquisition regulations.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law principles. Any legal action must be brought in the courts of [Your Jurisdiction].

For users in the European Union, nothing in these Terms affects your rights under applicable consumer protection laws.

18. Dispute Resolution and Arbitration

18.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration rather than court proceedings, except for:

  • Small claims court matters within jurisdictional limits
  • Intellectual property disputes
  • Requests for equitable relief

18.3 Class Action Waiver

You agree to resolve disputes individually and waive rights to participate in class actions, collective actions, or representative proceedings.

19. Miscellaneous

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and AutoFlow.

19.2 Severability

If any provision is found to be unenforceable, the remaining provisions remain in full force and effect.

19.3 No Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

19.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms in connection with business transfers.

19.5 Survival

Provisions that should survive termination (including intellectual property, indemnification, and dispute resolution) remain in effect after termination.

21. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through:

Changes take effect 30 days after notice for material changes, or immediately for non-material changes. Continued use constitutes acceptance of updated Terms.
